Welcome to NeroNext. These Terms of Use (“Agreement”) govern your access to and use of NeroNext’s website, hosting services, domain registration, automation tools, and support channels. By using our services, you agree to comply with this Agreement. If you do not agree, you must discontinue use immediately.

1. Definitions

•     “NeroNext,” “we,” “us,” or “our” refers to NeroNext LLC, its affiliates, and authorized partners.
•     “User,” “you,” or “your” refers to any individual or entity accessing or using our services.
•     “Services” include all products, platforms, and support provided by NeroNext, including shared hosting, VPS, domain registration, and Chat support.

2. Eligibility & Account Registration

To use NeroNext’s services, you must:
•     Be at least 18 years old or the legal age of majority in your jurisdiction.
•     Provide accurate, complete, and current registration information.
•     Maintain the confidentiality of your login credentials.
•     Notify us immediately of any unauthorized access or breach.
NeroNext reserves the right to suspend or terminate accounts that violate these terms or pose a security risk.

3. Acceptable Use Policy

You agree to use NeroNext’s services responsibly and in accordance with applicable laws and community standards. The following activities are strictly prohibited:
- Hosting or distributing malware, phishing pages, or illegal content
- Using shared hosting for offsite backups, file dumps, or excessive storage
- Engaging in spam, denial-of-service attacks, or unauthorized access
- Violating intellectual property rights or applicable laws
- Using automation tools to overload servers or bypass security
- Hosting, sharing, or promoting sexually explicit content, adult material, or pornography of any kind

This policy reflects our commitment to maintaining a safe, inclusive, and culturally respectful environment for all users.
Violations may result in immediate suspension or termination of services without refund.

4. Hosting Services & Resource Limits

NeroNext offers shared and VPS hosting with defined resource allocations. You agree to:
•     Use resources within the limits of your plan.
•     Avoid excessive CPU, RAM, or bandwidth usage that disrupts other users.
•     Not run persistent background processes or cron jobs that exceed fair usage.
We may suspend, or migrate accounts to maintain system stability.

5. Domain Registration & WHOIS Data

NeroNext is an accredited domain registrar. By registering a domain, you agree to:
•     Provide accurate WHOIS data as required by ICANN and registry operators.
•     Keep contact information up to date.
•     Accept that domain data may be escrowed or shared with registries for compliance.
•     Understand that domain renewals are your responsibility; failure to renew may result in loss of ownership.

6. Third-Party Tools & Integrations

NeroNext integrates with third-party platforms including:
•     WHMCS for billing, provisioning, and client management.
•     Softaculous for one-click app installation.
•     Crisp Chat for multilingual support and live communication.
These tools may have separate terms and privacy policies. NeroNext is not liable for third-party outages, updates, or data handling practices.

7. Payment Terms & Billing

•     All services are prepaid and billed on a recurring basis unless canceled.
•     Invoices must be paid within 4 days of the due date to avoid suspension.
•     Late payments may incur fees or result in account termination.
•     Refunds are only available under our 30-day money-back guarantee for first-time hosting purchases.

Note: Late fees are cumulative and non-refundable. Reinstating a terminated account may require a reactivation fee and full payment of outstanding balances.

Account Eligibility After Termination

NeroNext reserves the right to deny new account registration to any user with outstanding unpaid invoices, even if their previous account has been terminated and data deleted. All unpaid balances remain enforceable and must be settled before reactivation or re-registration.
This policy helps protect our infrastructure, prevent abuse, and ensure fairness across our client base.

8. Cancellation & Refund Policy

•     You may cancel services at any time via your client portal.
•     Refunds apply only to first-time hosting accounts canceled within 30 days.
•     No refunds for renewals, domain names, or third-party licenses.
•     Upon cancellation, all data may be deleted immediately. We recommend backing up your content before submitting a cancellation request.

9. Uptime Guarantee & SLA

NeroNext guarantees 99.9% uptime for shared VPS Cloud. This excludes:
•     Scheduled maintenance
•     Force majeure events (e.g., natural disasters, war)
•     Network outages beyond our control
If Yearly uptime falls below the guarantee, users may request service credits. Credits are issued at NeroNext’s discretion and do not constitute refunds.

10. Data Security & Privacy

NeroNext implements industry-standard security measures, including:
•     Encrypted data storage and transmission
•     Firewall protection and intrusion detection
•     Regular vulnerability scans and patching
However, no system is 100% secure. Users are responsible for securing their own accounts, passwords, and hosted content. For details, see our Privacy Policy.

11. Intellectual Property

All content, software, and branding on NeroNext’s platform are protected by copyright, trademark, and other laws. You may not:
•     Copy, modify, or distribute our materials without permission.
•     Reverse-engineer or attempt to extract source code.
•     Use our brand assets without written consent.
You retain ownership of your own content hosted with us.

12. Service Modifications & Updates

NeroNext may:
•     Modify or discontinue services at any time
•     Update pricing, features, or terms with notice
•     Perform maintenance that may temporarily affect availability
We strive to notify users in advance of major changes, but emergency updates may occur without notice.

13. Termination

NeroNext may suspend or terminate your account for:
•     Non-payment
•     Violation of this Agreement
•     Abuse of resources or support channels
•     Legal or regulatory risk
Upon termination, all data may be deleted. We are not liable for data loss resulting from termination.

14. Limitation of Liability

To the maximum extent permitted by law:
•     NeroNext is not liable for indirect, incidental, or consequential damages.
•     We are not responsible for data loss, service interruption, or third-party failures.
•     Our total liability is limited to the amount paid for services in the last 12 months.

15. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the Republic of Iraq. Any disputes shall be resolved through arbitration in Erbil, unless otherwise required by law.

16. Changes to These Terms

NeroNext may update these Terms periodically. Continued use of our services implies acceptance of any changes. We recommend reviewing this page regularly.
